Terms of Service
These terms govern your use of Drive My Path, operated by JBran LLC ("we," "us"). Drive My Path is a trademark of JBran LLC. By creating an account you agree to these terms and to our Privacy & Data Policy.
1. The service
Drive My Path is a preparation tool for managers: one-on-one meeting workspaces, working notes, goal and metric tracking, feedback logs, review preparation, and related features. It is not your employer's system of record, and what it produces is a draft intended to be copied into whatever system your employer actually uses. We may improve or modify features over time; if we ever discontinue a feature you rely on, your data export rights remain available.
2. Your account
- You must provide accurate information and keep your password secure.
- You are responsible for all activity under your account.
- One person per account — credentials may not be shared.
- You must be at least 18 and using the service for business purposes.
- Use your work email address where you can. The records you keep here concern people employed by an organisation, and the address you sign up with is how that organisation is identified — including for the domain claim below.
3. Acting for your organisation
Drive My Path holds information about people who are not our customers and have not agreed to anything with us — your direct reports. This section is how that is made accountable rather than left informal.
- You represent that your organisation permits you to keep records about the people you manage in a tool like this. We do not ask you to warrant that you can bind your employer to these terms, because an individual generally cannot.
- Where you use the service for work, our Data Processing Addendum is incorporated into these terms by reference and applies to personal data about your reports. It takes effect on acceptance — no signature or separate negotiation is needed — so the protections your employer would expect are in place from your first day of use.
- Domain claim. If the domain of your email address belongs to an organisation and was issued to you as a member of it, that organisation may ask us to identify the account, and we may transfer it to an account they control or restrict access to it. We will give you reasonable notice and an opportunity to export your data first, except where the law requires otherwise. In practice this is what happens when you leave: the records about that organisation's people follow the organisation, and your own notes on your own practice remain yours to export.
4. Your data
- You own your content. Everything you enter — notes, agendas, review drafts, profiles — belongs to you (and, where applicable, your employer under your arrangements with them).
- You grant us only the limited license needed to host, process, display, and back up your content in order to run the service — nothing more. See the Privacy & Data Policy: we do not sell or share your data with third parties.
- You can export or permanently delete your data at any time.
5. Acceptable use
You agree not to:
- use the service to violate any law, including employment, privacy, and recording-consent laws;
- enter information about individuals you have no legitimate managerial basis to record;
- record health, medical, disability, pregnancy, genetic, or family-medical information about anyone, anywhere in the service, including in free-text notes;
- treat anything the service produces as the sole or determining basis for a decision about someone's pay, promotion, discipline, or continued employment;
- attempt to access another user's data or probe the service's security;
- resell or white-label the service without a written agreement;
- upload malicious code or use the service to send spam.
6. No automated decisions
Drive My Path makes no automated decision about any person. It does not score, rate, rank, or tier anyone, and it produces no prediction, recommendation, classification, or score used to make, guide, or assist a decision about pay, promotion, discipline, or termination — whether by artificial intelligence, by rule, or by arithmetic. Its outputs are preparation material for a conversation a manager has, and every judgement remains a human one made outside this software. We will not add such a capability without notifying account holders in advance.
7. Not legal, HR, or professional advice
Drive My Path is documentation software, not a law firm or HR consultancy. Templates, prompts, coaching content, and AI-generated drafts are provided for convenience and do not constitute legal, HR, or professional advice. Employment decisions — including formal performance action and terminations — are yours alone, and you should consult qualified counsel or HR professionals before acting. Acknowledgment records document receipt of a shared document; their legal effect depends on your jurisdiction and circumstances.
8. Recording & consent
If you use the meeting recorder, you are solely responsible for complying with all applicable recording and wiretap laws, including obtaining consent from every participant where required.
9. AI features
Optional AI features generate drafts from your content. AI output can be wrong or incomplete; you must review it before relying on it or sharing it. Nothing is saved to an employee's record without your explicit approval.
10. Plans & payment
- Every plan includes unlimited team members — your direct reports are never billed or capped as seats. New accounts begin with a 30-day trial of Solo which requires no card and ends by itself; when it ends the account moves to the free plan rather than being charged.
- The free plan keeps your 1:1 workspaces, agendas, working notes, action items, calendar sync and the coaching library. The pre-1:1 brief, your management mirror, roll-up reports, search, review preparation and the recorder are paid features. Plan contents may change with notice.
- Paid plans are billed as described at purchase. You may cancel anytime; access continues through the paid period. Fees are non-refundable except where required by law.
- Usage-based features (e.g., transcription) may be metered as described in-product.
11. Termination
You may delete your account at any time, which permanently deletes your data. We may suspend or terminate accounts that materially violate these terms, with notice where practicable and your export rights preserved except in cases of abuse.
12. Disclaimers
The service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose. We do not warrant that the service will be uninterrupted or error-free, though we work hard to make it both.
13. Limitation of liability
To the maximum extent permitted by law, JBran LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data. Our total liability for any claim is limited to the amounts you paid us in the twelve months before the claim arose (or USD $100 if you paid nothing). Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.
14. Indemnity
You will defend and hold us harmless from claims arising out of your content or your use of the service in violation of these terms or applicable law — including claims by your employees relating to information you recorded or decisions you made.
15. Governing law & changes
These terms are governed by the laws of Colorado, USA, excluding conflict-of-law rules. If we make material changes, we will notify account holders by email before they take effect; continued use after that constitutes acceptance. If any provision is found unenforceable, the rest remain in effect.
